Parties to a cross-border contract frequently prefer arbitration to litigation in either party’s national courts. That preference is only effective if the arbitration clause is drafted to work — an agreement that names a non-existent institution, or is silent on seat and governing law, produces a dispute about the forum before the dispute itself can be heard.
